โ ๏ธ IMPORTANT: Read Carefully Before Creating Trading Agents
By creating a trading agent on BENED Tradecraft, you authorize our platform to place trades automatically in your brokerage account. This document describes the scope, limitations, and risks of that authorization.
ยง1. Scope of Authorization
By creating and activating a trading agent ("Agent") on BENED Tradecraft ("Platform"), operated by BENED LLC ("Company"), you ("User") expressly authorize the following:
- Automated Order Placement: The Platform may submit buy and sell orders to your connected brokerage account (Alpaca Securities LLC) without requiring individual approval for each trade.
- Strategy-Driven Execution: Orders are generated by algorithmic strategies that mirror simulation signals. The timing, quantity, and direction of trades are determined by the strategy logic, not human discretion.
- Continuous Operation: Active Agents operate automatically during market hours (and 24/7 for cryptocurrency symbols). Trades may execute at any time while the Agent is in "active" status.
- Position Management: The Platform may open new positions, close existing positions, and adjust holdings based on strategy signals.
ยง2. What You Control
You retain full control over the following aspects of automated trading:

| Capital Allocation | You set the dollar amount each Agent can trade with |
| Symbol Selection | You choose which symbol(s) each Agent trades |
| Strategy Selection | You choose which algorithmic strategy each Agent follows |
| Key Type | You choose whether an Agent uses paper (simulated) or live (real money) API keys |
| Emergency Stop | You can pause or delete an Agent at any time to halt trading |
| Brokerage Access | You can revoke API keys at Alpaca at any time to immediately cut off all access |
ยง3. What You Cannot Control
Once an Agent is active, certain aspects are determined by the system:
- Trade Timing: The exact moment a trade executes is determined by strategy signals and market conditions, not by your manual input.
- Order Type & Routing: The Platform determines order types (market, limit) and execution parameters.
- Slippage & Fill Prices: Actual fill prices may differ from quoted or expected prices, especially in volatile markets or illiquid securities.
- System Delays: Network latency, API rate limits, or brokerage processing may cause delays between signal generation and order execution.
ยง4. Risks of Automated Trading

- Loss of Capital: Automated trading can result in partial or total loss of your allocated capital. Past simulation performance does not guarantee future results.
- Technical Failures: Software bugs, API outages, network failures, or brokerage system issues may cause missed trades, duplicate orders, or unintended positions.
- Market Risk: Sudden market movements, gaps, halts, or extraordinary events may cause losses exceeding normal expectations.
- Strategy Risk: Algorithmic strategies may underperform, experience drawdowns, or behave unpredictably in market conditions not represented in historical data.
- Execution Risk: The Platform operates on a best-effort basis. We do not guarantee that every simulation signal will be executed in your brokerage account, or that execution will occur at the same price as the simulation.
- Cryptocurrency Risk: Crypto markets operate 24/7 with no circuit breakers. Extreme volatility can occur at any time, including outside traditional market hours.
ยง5. Brokerage Relationship
You acknowledge and understand that:
- BENED LLC is not a broker-dealer, investment adviser, or financial institution.
- Your brokerage account is held at Alpaca Securities LLC, a registered broker-dealer and member of FINRA/SIPC.
- BENED LLC accesses your brokerage account solely through API keys that you voluntarily provide.
- BENED LLC does not hold, custody, or have direct access to your funds or securities.
- You are solely responsible for maintaining your brokerage account, meeting margin requirements, and complying with applicable tax obligations.
- The Platform does not provide investment advice, tax advice, or personalized financial recommendations.
ยง6. Revocation of Authorization
You may revoke this authorization at any time by:
- Pausing or Archiving your Agent(s) on the BENED Tradecraft dashboard
- Revoking API keys directly at Alpaca (immediate effect)
- Canceling your subscription, which will trigger automatic wind-down of active Agents

Pausing an Agent stops new trades but any existing open position may require manual intervention or use of the "Sell Now" feature. Revoking API keys at Alpaca is the only way to guarantee immediate cessation of all automated activity.
ยง7. Subscription Requirement
Live trading Agents require an active paid subscription. If your subscription lapses, expires, or is canceled:
- Active live Agents will be automatically paused by the system
- No new live trades will be placed on your behalf
- You are responsible for managing any open positions in your brokerage account
- Paper (simulated) Agents are not affected by subscription status
ยง8. Limitation of Liability
To the maximum extent permitted by law:
- BENED LLC shall not be liable for any trading losses, missed opportunities, or financial damages arising from the use of automated trading Agents.
- BENED LLC shall not be liable for any losses caused by technical failures, API outages, brokerage errors, or market conditions beyond our control.
- Your total remedy for any claim related to automated trading shall not exceed the subscription fees you paid in the 12 months preceding the claim.
This limitation supplements (and does not replace) the general limitation of liability in our Terms of Service.
ยง9. Acknowledgments
By accepting this authorization, you confirm that:
- You have read and understood this Automated Trading Authorization in its entirety.
- You have read the Trading Risk Disclosure and the Strategy Disclosure.
- You understand that automated trading involves substantial risk of financial loss.
- You are authorizing the Platform to place trades in your brokerage account without individual trade approval.
- You understand how to pause, archive, and revoke access to your Agents.
- You are trading with funds you can afford to lose.
- You are not relying on BENED LLC for investment advice or financial recommendations.
ยง10. Appeal Process
If BENED suspends or restricts your trading agents, you have the right to appeal:
- Use the in-app support widget, or email tradecraft@bened.works with subject “TRADING APPEAL”
- Include your account information and the specific action you are appealing
- A human member of the BENED team will review your appeal
Timelines:
- Acknowledgment within 24 hours
- Decision within 72 hours
- If the suspension was in error, your agents and trading access will be fully restored
You may escalate unresolved disputes to the Arizona Attorney General Consumer Protection division at www.azag.gov/consumer.
ยง11. Changes to This Authorization
11.1. When we update this Automated Trading Authorization, you will be notified by email at least 30 days before changes take effect.
11.2. A summary of what changed will be provided with each update.
11.3. You will be required to re-accept the updated authorization before deploying or reactivating trading agents.
11.4. You may reject the updated terms and revoke your authorization per ยง6.
